DUE DILIGENCE FORMS PROGRAM

The purchase and sale of oil and gas properties has and continues to represent a large part of transactions involving producing and nonproducing properties. To aid in conducting due diligence investigations, and closing purchase and sale transactions, the Due Diligence Forms Program is available.  

This Program has forms dealing with the sale and acquisition process.  The forms in the Program are organized topically, beginning with Preliminary Agreements and Offer Letters, and ending with Closing Documents used in transactions.

 
The due diligence phase of a transaction is dealt with in the checklists and worksheets for use in summarizing information found in conducting a review to verify the seller’s title and the status of properties.

 
There are a variety of conveyance forms that may be used to close a transaction, as provided for in a Purchase and Sale Agreement.

 
The Program also has forms of transition and sub-operating agreements to provide for the operation of properties after closing.

 
The forms in this Program may be used in any size transaction.  All of them are in text format or MSWord that may be revised, added to, and adapted to meet your specific needs.

1. The forms in the Index, as listed, below, is in the same order as the forms appear in the Program.  They are divided into topical Sections, with all the forms in each Section listed alphabetically.
2. There are no sample forms for Acknowledgments, but Acknowledgement forms for each state listed are included in the Program.
