Each of the Kanes Forms Programs is sold under the following License Agreement, Warranty, and Disclaimer.
In short:
•    YOU MAY USE THE FORMS AS MANY TIMES AS YOU CHOOSE, WITH NO ADDITIONAL CHARGE.
•    YOU CAN’T DUPLICATE THE PROGRAM.
•    YOU CAN USE THE PROGRAM ON A NETWORK IF A LICENSE FEE IS PAID FOR EACH USER.
•    THE FORMS ARE NOT INTENDED TO PROVIDE LEGAL ADVICE.



KANES FORMS™
LICENSE AGREEMENT, WARRANTY, AND DISCLAIMER


KANES FORMS LICENSES THIS SOFTWARE PROGRAM (THE “PROGRAM”) TO YOU ONLY ON THE CONDITION YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS LICENSE AGREEMENT. PLEASE READ THE TERMS CAREFULLY BEFORE PURCHASING, BEGINNING, OR CONTINUING TO USE THE PROGRAM, AS YOUR USE INDICATES YOUR ACCEPTANCE OF THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, THEN KANES FORMS IS UNWILLING TO SELL AND LICENSE THE PROGRAM TO YOU, IN WHICH EVENT YOU SHOULD NOT ORDER THE PROGRAM, INSTALL IT ON YOUR COMPUTER, OR USE IT, AND RETURN THE PROGRAM TO KANES FORMS.  THE AMOUNT YOU PAID FOR THE PROGRAM WILL BE REFUNDED IMMEDIATELY.


LICENSE AND WARRANTY


The software which accompanies this license (the “Program”) is the property of Kanes Forms or its licensors, and is protected by copyright laws.  While Kanes Forms continues to own the Program, you have, and are granted certain rights to use the Program after agreeing to accept the terms of this Agreement.  Except as may be modified by a License addendum which must accompany this License, your rights and obligations with respect to the use of the Program are as follows:

You May:

  • use the version of the Program contained on the Kanes Forms Program to which this License is attached;
  • use the Program on a network, if you have purchased a licensed copy of the Program for each user that can access and use the Program over the network;
  • after written notice to Kanes Forms, transfer the Program, on a permanent basis, to another person or entity, provided you retain no copies of the Program and the transferee agrees to the terms of this License Agreement.

You May Not:

  • sublicense, rent, or lease any portion of the Program, or duplicate, copy, distribute, resell, or publish, in any form or manner, all or any part of the Program, or the forms, for use by any third party;
  • reverse engineer, decompile, disassemble, modify, translate, make any attempt to discover the source code of the Program, or create derivative works from the Program; or,
  • use a previous version or copy of the Program after you have received a replacement or an upgraded or supplemented version as a replacement of the prior version, if the earlier version has not been returned to Kanes Forms.  Upon upgrading the Program, you agree that all copies of the prior version must be destroyed, at the sole election of Kane Forms.

One Hundred Eighty Day Money Back Guarantee.

If you are the original licensee (or an approved assignee) of the Program and are dissatisfied with it for any reason, you may return it to Kanes Forms, postage prepaid, for a full refund of the purchase price you paid, at any time during the one hundred eighty (180) day period following the delivery to you of the Program.

 

 

One Year Limited Warranty

Kanes Forms warrants that the media on which the Program is distributed will be free from defects. Your sole remedy in the event of a breach of this warranty will be that Kanes Forms will, at its option, replace any defective media returned to Kanes Forms or refund the purchase price you paid for the Program. Kanes Forms does not warrant that the Program will meet all your requirements or that operation of the Program will be uninterrupted or that the Program or the forms contained in the Program will be error-free.


THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE.

•    Disclaimers.

REGARDLESS OF WHETHER ANY REMEDY SET FORTH IN THIS AGREEMENT FAILS OF ITS ESSENTIAL PURPOSE, IN NO EVENT WILL KANES FORMS BE LIABLE TO YOU FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT, OR SIMILAR DAMAGES, INCLUDING ANY LOST PROFITS, WORK PRODUCT, BUSINESS, OR LOST DATA ARISING FROM, OUT OF THE USE OF, OR INABILITY TO USE THE PROGRAM, EVEN IF KANES FORMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

IN NO CASE SHALL KANES FORMS’ LIABILITY EXCEED THE PURCHASE PRICE YOU PAID FOR THE PROGRAM. THE DISCLAIMERS AND LIMITATIONS SET FORTH ABOVE WILL APPLY REGARDLESS OF WHETHER YOU ACCEPT THE PROGRAM. 

The forms in this Program are not intended to provide legal advice and have been prepared for use by professionals involved in the oil, gas, and energy industry to aid in the preparation of instruments and documents used in connection with oil, gas, and energy related transactions. The authors and editors make no representation or warranties, express or implied, that the information and forms are free from error, applicable to any particular circumstance or situation, comply with local laws, or fit for any particular purpose. Professionals who utilize the Program should do so in tandem with their own knowledge and experience in the area of oil, gas, and energy matters and/or transactions, and the assistance received from other professionals in the oil, gas, and energy industry.

It is anticipated and expected that the user will find it necessary to revise, edit, or supplement the forms to adapt them to be applicable to a particular transaction.

This License Agreement will be governed by the laws of the State of Texas.
